一、国外公司注册驻上海代表机构所需基本条件：

TheessentialconditionsforaforeignenterprisetoapplyfortheestablishmentofaresidentrepresentativeofficeinShanghaiareasfollows:

1、该国外公司必须在所在国合法注册；

2、该外国企业必须具有良好的商业信誉；

3、该外国企业必须提供真实可靠的本实施细则规定的各类材料；

(2)Theforeignenterprisemustbeofgoodcommercialreputation;

(3)Theforeignenterprisemustprovidetheauthenticandreliablematerialsanddocumentsaccordingbythisnotification.

二、注册上海代表处所需时间和要求：

ThetimeandrequirementsforaforeignenterpriseapplyingfortheestablishmentofaresidentrepresentativeofficeinShanghaiareasfollows:

1、外国企业申请在中华人民共和国境内设立常驻代表机构，须先向上海市工商局提出网上申请，工商局对其申请进行审查，在5个工作日内做出批准或不予批准的决定，并在网上公布结果。得到批准的企业，再向工商局提出书面申请，工商局于10个工作日后颁发代表机构登记证。其他政府机构办理各种证照约需要15个工作日。

WhenanenterprisewantstoestablisharepresentativeofficeinShanghai,itshouldapplytoShanghaiAdministrationofIndustryandCommerceonitswebsiteforprejudicationfirst.Itwillapproveoroverruletheapplicationin5workingdays.TheapprovedenterpriseshouldapplytotheAdministrationformally.10workingdayslater,theAdministrationwillgiveBusinessRegistrytothecompany.Andprocessingotherregistriesbyotheradministrationswillspendabout15workingdays.

2、外国企业申请设立常驻代表机构必须委托一家经中华人民共和国政府主管部门批准的、具有相关资质的公司作为承办单位，由承办单位代外国企业向审批机关报送各类材料，办理申报手续。

三、在上海设立常驻代表机构所需材料

(一)申请书(由公司董事长或总经理签名)

申请书内容如下:

3)企业简况,设立常驻代表机构的目的、业务范围/briefintroductionoftheforeignenterprise,purposeofestablishingthisrepresentativeoffice,businessscopeofthisrepresentativeoffice

4)办公地址/officeaddress

5)驻在期限/residenceperiod

(二)代表任命书(由公司董事长或执行董事签名)

如董事长任首席代表或代表，其授权书必须由该企业董事会两名以上董事签署

(三)代表的简历

Resumesofrepresentatives；

(四)代表护照或身份证复印件

ThepassportorIDcard(copy)ofthechiefrepresentativeandrepresentatives;

(五)由该企业所在国的有关当局出具的开业合法证书（副本）注明有效期

(六)将此证书在当地的中国大使馆/领事馆公证。

(七)由同该企业有往来的银行出具的资信证明书（正本）注明信用评价及有效期
